Terms Of Use

Effective Date: June 1st, 2024

By using the website www.truedar.ae or the True Dar mobile application (collectively referred to as the "Platform"), you confirm that you have read, understood, and accepted these Terms of Use (hereinafter referred to as the "Terms") as the governing provisions for your access and use of the Platform and the Service, and you agree to comply with them. If you do not accept or agree to comply with these Terms, you should not use this Platform. Additionally, when using any part of the Service, you agree to comply with any applicable guidelines for that Service, which may be changed or updated from time to time at our discretion.

These Terms are entered into between True Dar Marketing Management L.L.C (hereinafter referred to as "we", "us", "our", "the Company", as applicable) and the user (hereinafter referred to as "you", "your", "the user"). The Company provides marketing services and tools for real estate agents and real estate companies and helps property seekers find suitable properties through an integrated platform.

1. Definitions

  • 1.1. "True Dar" means True Dar Marketing Management L.L.C, the owner of www.truedar.ae, with its registered office in Dubai, United Arab Emirates.
  • 1.2. "Affiliated Companies": Refers to any entity or business unit associated with True Dar that participates in providing the services.
  • 1.3. "Advertising Agreement" means the agreement for providing advertising products or services entered into between the Company and the Client.
  • 1.4. "Memberships": A bundle of membership services or features that the company agrees to provide to the subscriber upon subscription and payment of the required amount, in accordance with these terms and the terms of the membership agreement. Memberships include various types.
  • 1.5. "Client" means the client party to the Advertising Agreement.
  • 1.6. "Customer" means any customer of the Client.
  • 1.7. "Intellectual Property Rights" means all intellectual property rights, including patents, trademarks, goodwill, database rights, data rights, design rights, copyrights, topographical rights (whether registered or not, including applications and the right to apply for registration of any such rights), and all inventions, know-how, trade secrets, confidential information, buyer and supplier lists, and other proprietary expertise and information, all rights under licenses and consents in relation to any of these rights, and all rights and forms of protection of a similar nature or having an equivalent or similar effect to any of these rights, which may exist anywhere in the world, for the full duration thereof, including any renewals and extensions.
  • 1.8. "Interactive Features" means any interactive services available on the Platform.
  • 1.9. "Materials" means the material and content published on the Platform or otherwise provided by the Company in relation to the Service.
  • 1.10. "Publishing Agents" means an agent, service provider, or intermediary who publishes materials in the Service on behalf of others.
  • 1.11. "Privacy Policy" means the Company's current privacy policy.
  • 1.12. "Product" means an online classified advertising platform available on the Platform, including various membership packages.
  • 1.13. "Registration Data" means the data required from the user at the time of registration on the Platform from time to time (e.g., phone numbers, email addresses, age, and/or address).
  • 1.14. "Service" means the provision of the Platform, the Product, and the Interactive Features.
  • 1.15. "Unacceptable Material" means any material or information uploaded or made available on the Platform that may be considered under the law of any territory accessible from the Platform as content:
    • 1.15.1. Illegal, unlawful, improper, obscene, racist, offensive, pornographic, child sexual content, defamatory, false, unreliable, misleading, harmful, potentially harmful to minors, threatening, libelous, alleged to be libelous, infringing on the rights of others (of any nature, including, but not limited to, any intellectual property rights), invading another person's privacy or other rights, related to money laundering or illegal gambling, or encouraging such activities;
    • 1.15.2. Violating any applicable regulations, standards, or codes of practice (even if compliance is not mandatory);
    • 1.15.3. Breaching any legislation, including, but not limited to, legislation relating to weapons, animals, or alcoholic beverages; or
    • 1.15.4. Damaging the Company's reputation.
  • 1.16. "User Materials" means the materials and content posted by the user on the Platform or otherwise provided by the user to True Dar in connection with the Platform or the Service.

General Terms and Conditions Applicable to Users

2.1. Registration Data

When registering on this Platform, the user must provide accurate, current, and complete Registration Data and must update it after any changes (except for age) before using the Platform for further services in the future.

2.2. Advertisements

The user agrees and acknowledges that the Platform may contain advertisements placed by advertisers or real estate companies (for which the company disclaims any responsibility). Advertisers or companies that use the Platform or the Service to place real estate advertisements or real estate services advertisements must include their full names in the advertisement and clarify that they are selling real estate in the course of business, either through the content of the advertisement, its format, size, placement, or by including words such as "real estate," "agent," "real estate company," or similar terms in the name of the advertisement submitted for publication.

2.3. User Age

The user warrants and represents to the Company that they are at least eighteen years old and have the legal capacity to enter into contracts.

2.4. Removal of Materials

The Company reserves the right to remove any Materials or User Materials from the Platform without prior notice and to reject any User Materials submitted or posted to the Company by the user.

2.5. Data Recording

The user's Registration Data and data related to their use of the Platform and any Interactive Features will be recorded by the Company, but this information will not be disclosed to third parties (except in an aggregated and anonymized form or in accordance with the Privacy Policy or Clause 2.6 below) and will not be used for any purpose unrelated to the Platform or the relevant Interactive Features. By agreeing to these Terms, you explicitly permit us to verify your data by contacting you at the phone number provided to us. Calls may be recorded for quality assurance purposes.

2.6. Information Usage

The user authorizes the Company to use any information submitted to the Platform to inform the user about special offers and offers from others from time to time and for other marketing and related purposes. Subject to Clause 2.5 above, the Company will not use the user's data for any other purposes except as stated in these Terms, except that the Company may disclose such data if required to do so by law, or upon request from a law enforcement agency or governmental authority.

2.7. Opt-out

If the user does not wish the Company to use their information as outlined in Clause 2.6 above, they should leave the Platform before providing their personal data.

2.8. Email Opt-out

If the user does not wish the Company to use their email address or mobile phone number/SMS to send information related to the Platform and related matters, they should send an email tolegal@truedar.ae and include "Unsubscribe" as the subject of the message.

2.9. User Confidentiality

You must keep any user identification data and password confidential that has been set up or provided to you as part of our security procedures, and you must not disclose them to any third party.

2.10. Account Suspension or Termination

The Company reserves the right to suspend or terminate the user's account if, in its sole discretion, it determines that the user has violated these Terms or if such suspension or termination is otherwise deemed appropriate. In the event of such suspension or termination, the Company will notify the user via email, and the user must not attempt to re-register on the Platform through a related entity, whether directly or indirectly. The Company's rights under this Clause 2.10 do not affect any other right or remedy the Company may seek in relation to any violation or any rights, obligations, or liabilities arising before such suspension or termination.

2.11. Service Provision

For the avoidance of doubt, the Company provides a service and does not supply goods.

2.12. Intellectual Property Rights

True Dar owns all intellectual property rights associated with the Platform and the Service, including but not limited to any trademarks, trade names, designs, texts, graphics, and their selection and arrangement. Nothing contained on the Platform should be construed as granting, by implication or otherwise, any license or right to use any trademark displayed on the Platform without our written permission. You may print one copy, and download extracts of any page(s) from the Platform for your personal use and draw the attention of others to the content posted on the Platform. However, you must not modify the digital or paper copies of any materials you have printed or downloaded in any way, and you must not use any photographs, video, or audio sequences separately from any accompanying text. You agree not to circumvent, disable, or otherwise interfere with any security-related features of the Platform or features that prevent or restrict the use or copying of any materials or enforce limitations on the use of the Platform or the materials therein. The materials displayed in or through the Service are protected by copyright as a collective work and/or compilation, in accordance with copyright laws and other laws and international conventions. Any reproduction, copying, modification, creation of derivative works, or redistribution of the Platform or the materials or the collective work or compilation is expressly prohibited. Copying or reproducing the Platform or the materials or any part thereof for further reproduction or redistribution is expressly prohibited.

2.13. Intellectual Property Infringement

The Company takes actual and reported infringement of intellectual property rights and fraud seriously, and although users cannot hold the Company responsible for such issues, the Company requests all users to report such matters immediately to the Company, which will in turn notify the relevant authorities.

2.14. Notice of Infringement

If you are an intellectual property rights owner or an agent authorized to act on behalf of an intellectual property rights owner and believe that any materials or other content infringe your intellectual property right or the intellectual property rights of the owner on whose behalf you are authorized to act, you may send a notice to the Company requesting the removal of the relevant materials in good faith. The notice and request must include the following information: A physical or electronic signature of the person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; Identification of the intellectual property rights claimed to have been infringed, or, if multiple intellectual property rights are covered by a single notice, a representative list of such works; Identification of the materials (by data or contact link, etc.) that are claimed to be infringing or subject to infringing activity, and information reasonably sufficient to permit the Company to locate the materials; Information reasonably sufficient to permit the Company to contact you, such as an address, telephone number, and email address; A signed statement that you have a good faith belief that the use of the materials in the manner complained of is not authorized by the intellectual property rights owner, its agent, or the law; A signed statement that the intellectual property rights owner will indemnify the Company from any third-party claims related to the Company's removal of the content in question; and A signed statement that the information in the notice is accurate and that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed, under penalty of perjury. All notices under Clauses 2.13 and 2.14 must be sent tolegal@truedar.ae

2.15. Feedback

Users will be invited to send feedback regarding the integrity and performance of other users to the Company's email.

General Restrictions on Use

3.1. Illegal Use

You must not use the Platform or the Service in any illegal way, for any illegal purpose, or in any way inconsistent with these Terms, or act fraudulently or maliciously, for example, by hacking or inserting malicious code, viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or other harmful data or programs or similar code designed to adversely affect the operation of any computer software or hardware, Platform, any Service, or any operating system.

3.2. Disruptive Materials

You must not publish any materials designed to disrupt or destroy or limit the functionality of the Platform or the Service.

3.3. Automated Tools

Use any form of automated device or computer program (sometimes referred to as "content flagging tools") that enables the use of the Company's "flagging system" or other community control systems without each flag being manually entered by a human who initiates the flag (an "automated flagging device"), or use any such flagging tool to remove postings of competitors or others, or to remove postings without a reasonable good faith belief that the post being flagged violates these Terms or any applicable law or regulation.

3.4. Automated Viewing

You must not use any automated software to view the Service without our consent (including the use of spiders, robots, crawlers, data mining tools, or similar tools to download or scrape data from the Service, except for general-purpose internet search engines (such as Google) and non-commercial public archives (such as archive.org) that comply with our robots.txt file) and only access the Service manually.

3.5. Personal Use

You must not use the Service for any purpose other than personal use or act as an agent to list properties for sale or rent.

3.6. Unauthorized Copying

You must not attempt to copy any materials or reverse engineer any processes without the Company's consent.

3.7. Illegal or Harmful Use

You must not use any part of the Service in any illegal, unethical, or harmful manner to True Dar.

3.8. Policy Violation

You must not use any part of the Service in a way that violates any policy or notice on the Platform.

3.9. Copyright Notices

You must not remove or alter any copyright notices appearing on the Platform.

3.10. Unacceptable Material

You must not post any Unacceptable Material or any material that may encourage the violation of any applicable laws or regulations.

3.11. Interference

You must not interfere with any other user's ability to enjoy the Platform or the Service.

3.12. Abusive Behavior

You must not act in an abusive or harmful manner while using the Platform or the Service.

3.13. Unsolicited Contact

You must not contact any person who has requested not to be contacted or make unsolicited contact with anyone for any commercial purpose, specifically, you must not contact any user to post an advertisement on a third-party platform or post any advertisement on behalf of such user.

3.14. Stalking or Harassment

You must not "stalk" or harass any person.

3.15. Personal Information

You must not collect personal information about other users or entities for commercial or illegal purposes.

3.16. Prohibited User Material

You must not post any User Material that includes: Harassment, abuse, or threats against any individual or group of individuals based on religion, gender, sexual orientation, race, ethnicity, age, or disability; Personal or identifying information of another person without that person's explicit consent; Impersonation of any person or entity, including, but not limited to, a Company employee, or falsely stating or otherwise misrepresenting your affiliation with a person or entity; Information protected by copyright, patent, trade secret, trademark, or other proprietary rights of any party, including privacy and publicity rights, unless you own those rights or have permission or a license from their rightful owner to post the materials and grant the Company all the license rights granted herein; Violation of any of the above-mentioned intellectual property rights of any party, or User Materials that you do not have the right to make available under any law or contractual or fiduciary relationship(s); Information that constitutes or contains "pyramid schemes," "jokes," "affiliate marketing," "code linking client referrals," "spam," "junk mail," "chain letters," "deceptive marketing," "marketing relying on negative options," "multi-level marketing," or unsolicited advertisements of a commercial nature; Constitutes or contains any form of advertising or solicitation if: (1) posted in areas or categories of the Platform not designated for such purposes; or (2) sent by email to Company users who have requested not to be contacted about other services, products, or commercial interests; Includes links to commercial services or third-party platforms, except as specifically permitted by the Company.

3.17. Interference with Platform

You must not access, interfere with, damage, or disrupt: Any part of the Platform; Any equipment or networks on which the Platform is stored; Any software used in the provision of the Platform; Any equipment or networks or software owned or used by third parties.

3.18. License for User Materials

By submitting User Materials on the Platform or otherwise, you grant True Dar a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, distribute, display, modify, and edit the User Materials. True Dar will not pay any fees for any kind for the User Materials, and it reserves the right, in its sole discretion, to remove or modify the User Materials at any time. You warrant and represent that you have all rights, consents, and/or authorizations regarding the User Materials necessary to grant True Dar these rights.

4. Paid Listing Slots

The Company offers various membership plans that include a specific number of listing slots and additional features. Each membership plan allows the user to publish materials in designated areas of the Platform according to the terms of their chosen plan. Each party that publishes materials using the listing slots under their membership is responsible for the content and for complying with these Terms. Membership fees are non-refundable, even if materials are removed from the Service due to a violation of these Terms. Additional terms regarding Paid Listing Slots will be mentioned in the applicable section(s).

5. Publishing Agents

The Company prohibits the use of unauthorized Publishing Agents, directly or indirectly, without the Company's explicit written permission. Authorized agents or companies with a valid membership are permitted to post materials on the Platform as per their membership terms. However, Publishing Agents are not allowed to post materials on behalf of others without explicit written permission or a license from the Company.

6. Anti-Spam Policy

You understand and agree that sending unsolicited advertisements or other unsolicited communications to the Company's email addresses or through the Company's computer systems is expressly prohibited by these Terms. You acknowledge and agree that the Company may monitor the use of email communications using human monitors or automated software to identify certain words associated with spam or fraud that are sent between one user and another in the Company's email system. Any communication between you and any other user utilizing the communication features available on the Service and the Platform may only be used in accordance with these Terms. Any unauthorized use of the Company's computer systems is a violation of these Terms and certain applicable laws, including UAE laws related to cybercrimes. Such violations may subject the sender and their agents to civil and criminal penalties. Please be aware that UAE cybercrime laws carry significant penalties, including imprisonment. If you intend to contact our users by obtaining their email addresses or phone numbers from our Platform, we may report this behavior to the relevant authorities, who may then decide to prosecute you under the applicable UAE laws.

7. Limitation of Liability

The Company is not liable for any of the following:
  1. Consequential, indirect, or special losses or damages (even if the Company has been advised of the possibility of such losses or damages);
  2. Loss of profits;
  3. Loss of business;
  4. Loss of revenue;
  5. Loss or damage to data;
  6. Loss of production;
  7. Loss of contracts;
  8. Loss of opportunities;
  9. Loss of savings or discounts (whether actual or anticipated);
  10. Damage to reputation or loss of goodwill;
  11. Loss of anticipated savings (in the case of clauses 7.1.1 to 7.1.12, whether directly or indirectly, howsoever suffered by any user and arising out of or in connection with these Terms or any liability of the user to any third party).

8. Remedies

You agree to defend, indemnify, and hold harmless the Company, True Dar, and its officers, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, suppliers, and employees, from and against any and all claims, damages, obligations, losses (whether direct, indirect, or consequential), costs, or debt and expenses (including but not limited to attorney’s fees) arising from:

  1. Your improper use of or inability to use the Platform or the Service,
  2. Your breach of any of these Terms, and
  3. Your violation of any third-party rights, including but not limited to any copyright, trademark, trade secret, or other intellectual property or privacy rights.

To the extent permitted by law, the defense and indemnification obligation will survive the termination or modification of these Terms and your use of the Platform and the Service.

9. Categories of Real Estate for Sale and Rent on the Platform

9.1. Agents

  1. You guarantee that you hold a valid license from the Real Estate Regulatory Agency (RERA) or its equivalent in the emirate where you are advertising.
  2. If the project is off-plan (under construction), you guarantee that the project is registered with the Real Estate Regulatory Agency.
  3. If you are engaged in sub-leasing activities, you guarantee that you hold a "Leasing and Management of Other People’s Property" activity license from both the Dubai Department of Economic Development and the Real Estate Regulatory Agency.
  4. If you are engaged in short-term home or holiday rentals, you guarantee that you hold an activity license from the Department of Tourism and Commerce Marketing in Dubai.
  5. In accordance with the Real Estate Regulatory Agency regulations, you must obtain approval for each sale or lease advertisement (whether inside or outside Dubai) and display the RERA permit number, the office registration number, and the broker registration number on all advertisements.

9.2. Developers

  1. You guarantee that you hold a valid license from the Real Estate Regulatory Agency or its equivalent in the emirate where you are advertising.
  2. If the project is off-plan (under construction), you guarantee that it is registered with the Real Estate Regulatory Agency and has an escrow account approved by the Real Estate Regulatory Agency for the project.
  3. In accordance with the Real Estate Regulatory Agency regulations, you must obtain approval for each property advertisement (whether inside or outside Dubai) and display the RERA permit number on all advertisements.

9.3. Property Owners and Landlords

  1. You guarantee that you are the property owner or landlord, or you have a valid authorization to list the property on the Platform.
  2. If you are engaged in short-term home or holiday rentals, you guarantee that you hold an activity license from the Department of Tourism and Commerce Marketing in Dubai.

9.4. Tenants

  1. You guarantee that you have valid written consent from the property owner before advertising on the Platform and that you have the legal right to post this advertisement.

9.5. All Advertisers

  1. You may only advertise properties that are currently available for sale or rent. We reserve the right, at our discretion, to remove any listings that do not comply with our terms and conditions. Fees will not be refunded in the event of such removals.
  2. You guarantee that the advertisement does not contain any illegal language or illegal use of the property.
  3. If you list a property on any part of the Platform, the following obligations apply:
    • The Company’s advertisements include real properties for sale or rent.
    • The Company does not act as a real estate agent.
    • The Company does not verify the property listing details provided to us by third parties, nor does it warrant or guarantee their accuracy or completeness.
    • You, as a user of the Platform, must conduct due diligence and not rely on any details in the advertisements.
    • The Company does not verify the RERA license number of all real estate brokerage companies before allowing them to advertise on the Platform.

10. Call Recording for Real Estate Brokers

10.1 Some real estate brokers (brokers) licensed by the Real Estate Regulatory Agency, who advertise on our Platform, may participate in a service whereby each property listing is assigned a uniquely identifiable phone number, and the call is automatically recorded for quality and training purposes. By using the service, you expressly agree to have your phone call recorded when contacting a broker regarding an advertisement in the real estate category on the Platform, and you agree that no further notice or consent is required.

11. Memberships

  1. 11.1. If you are a client, purchaser, or any of their officers, directors, employees, agents, contractors, subcontractors, or representatives, the following additional terms apply to you:

    • The Company may publish on the Platform any information provided or made available to the Company by the client or on their behalf. The client acknowledges and agrees that the Company is not in breach of any confidentiality obligations as a result of publishing this information.
    • The Company may make operational changes to the Memberships and the individual products included in those advertisements at any time. The Company will make reasonable efforts to notify clients of significant changes by posting a message on the Platform or by directly notifying the client.
    • Subject to Clause 7.12, the Company’s liability under any circumstances shall not exceed AED 20,000 in connection with providing the Memberships to the client, regardless of the cause of action and the losses incurred by the client.

12. General Provisions

  1. 12.1. Subject to Clause 6.2, these Terms and the Privacy Policy and any other document explicitly incorporated herein constitute the entire agreement between you and the Company, and neither party relies on any representation made by the other party unless that representation is expressly included in these Terms. Nothing in this Clause 12.1 shall exclude liability for fraudulent misrepresentation, and no party shall be entitled to any remedy for negligence or non-fraudulent misrepresentation except to the extent (if any) that a court or arbitrator may allow reliance on that representation as being fair and reasonable.

  2. 12.2. The Company reserves the right to change its terms of business from time to time. The effective date at the time the user reads these Terms is stated at the top of these Terms. Before using the Platform again in the future, users should check that the effective date has not changed. If it has changed, the user must review the new set of terms and conditions and only use the Platform if they accept the new terms and conditions. If you do not accept these changes, you must immediately cease accessing the Platform and using the Service.
